NDAs 101 for Entrepreneurs

As an entrepreneur preparing to engage in discussions with a potential collaboration partner or prospective client, you will often sign, or be asked to sign, a non-disclosure agreement (NDA). This session is designed to empower entrepreneurs to make strategic and practical decisions about when to use (or agree to use) NDAs and how and where to focus your review and potential negotiation of NDAs in a fast-moving conversation with a prospective collaboration partner or customer.

I am an attorney at Fredrikson & Byron, P.A. in Minneapolis. I work with entrepreneurs and emerging businesses to help protect, develop, acquire and commercialize technology products and services. I've been practicing law for over 20 years and enjoy working closely with businesses to understand their needs and develop strategies to help them meet their goals in a way that is protective, efficient and practical.

My work includes advising clients on the protection of intellectual property and drafting and negotiating agreements for consulting, services, technology and mobile application development, implementation, software licensing and SaaS, marketing, sales and distribution, manufacturing and supply other strategic collaborative agreement to develop, commercialize and sell products and services. I also help clients develop and update their template agreements to reflect actual business practices and streamline the contracting process.
